Your tasks

  • Provide commercial and contractual subject matter expertise to all aspects of the Rohde & Schwarz Australia business.
  • Ensure that business risks are adequately defined, understood and pragmatically managed and controlled.
  • Manage insurances for the business ensuring policies adequately cover ongoing operations and the risks the business is exposed to.
  • Manage performance guarantees and deeds of substitution and indemnity across existing and potential contracts; ensure terms and conditions of these are compliant to corporate governance obligations.
  • Support the management and protection of intellectual property for the business.
  • Lead and manage the liability risk assessment process for all existing and potential contracts.
  • Oversee all commercial aspects of program/service delivery activities.
  • Lead the commercial response and review of bids, tenders, proposals and agreements with customers, suppliers and partners.
  • Maximise the compliance position for the business within bids, tenders and proposals whilst ensuring that the compliance position does not expose the business to risk and is in aligned to corporate governance guidelines.
  • Lead the preparation for the statement of compliance for major bids and proposals.
  • Ensure contractual risk is adequately priced into new contracts.
  • Lead commercial negotiations for the business with suppliers, customers and partners.
  • Manage positive relationships with key customer and supplier commercial interfaces.
  • Proactively engage internal legal and commercial relationships to ensure the business is operating within corporate policies and guidelines as well as best practice.
  • Manage external legal advice providers; ensure external legal providers remain on time and within budget for the scope of works they are engaged for.
  • Support with intercompany agreements where required ensuring these agreements adequately cover business and risks between Rohde & Schwarz Australia and its international affiliates.
  • Provide the Managing Director timely advice on commercial matters as required.
  • Actively influence and engage senior personnel (and beyond) within the business to ensure that commercial risks are identified and addressed proactively.
  • Communicate and lead training for key commercial matters for the business.
  • Lead the continuous improvement of the commercial capability for Rohde & Schwarz Australia.
  • Provide a regular reporting for management reviews on commercial matters of the business.

Your qualifications

  • Several years of relevant professional experience leading legal and/or commercial activities for a business;
  • Demonstrated experience of successfully business partnering with multiple non-commercial functions;
  • Training and experience in contract negotiation;
  • Must hold or be eligible to obtain an Australian Government Security Clearance.
  • Experience in preparing the commercial response to tenders, bids and proposals;
  • Experience in contract management for a major contract and;
  • Ability to travel internationally and interstate, when required.
  • Tertiary qualifications in Law/Commerce/Business or related disciplines.
  • Qualified as a lawyer;
  • Experience in a high technology business;
  • Defence industry experience;
  • Sound knowledge of ASDEFCON and;
  • Experience managing the commercial aspects of a complex international project.
